PRELIMINARY INFORMATION: You will be charged $.99 for every text message you send to purchase an exclusive Bravo ringtone or wallpaper (“Bravo Downloadable”) and vote and enter the Make Me A Supermodel Season 2 Voting Sweepstakes (the “Promotion”). In addition, standard text messaging rates and terms and conditions apply to each text message sent or received and promotion may not be available for all service providers or for all mobile devices (contact your carrier for pricing plans and details). You can also vote for free by entering online (as described below). Text message participation is not available to residents of Georgia or persons using Sprint as their mobile device carrier (“Sprint Customers”). Residents of Georgia and Sprint Customers may only participate at www.bravotv.com/Make_Me_A_Supermodel (the “Website”).

ELIGIBILITY: The Promotion is open only to persons who, at the time of entry, are permanent, legal residents of, and are physically present in, the forty-eight (48) contiguous United States or the District of Columbia (excluding Puerto Rico, Guam, the US Virgin Islands and all other U.S. territories and possessions) and who are eighteen (18) years of age or older. Employees of Bravo Media LLC ("Bravo"), NBC Universal, Inc., Tiger Aspects, Single Point, Verizon Wireless, and any and all advertising and promotion agencies or administrators involved with this Promotion, and their respective parents, subsidiaries, divisions, affiliates and related companies, the immediate family members (regardless of where they live) and/or those living in the same household of such employees (whether or not related thereto), and contestants who are participating or who have participated in the second cycle of the series Make Me A Supermodel (collectively, the “Excluded Participants”) are not eligible to participate or win. Entries must be received by the times stated below to be eligible. Notwithstanding the foregoing, Excluded Participants are eligible to vote on the Ultimate Fan Favorite Question (described below); however, they are not eligible to win the grand prize (“Grand Prize”). By entering the Promotion, all entrants are bound by and agree to these Official Rules. Promotion is void where prohibited by law. Promotion is subject to all federal, state and local laws and regulations.

Sponsor: The Sponsor of the Promotion is Bravo Media LLC, 30 Rockefeller Plaza, New York, NY and NBC Universal, Inc., 30 Rockefeller Plaza, New York, NY 10112 (collectively referred to herein as, the “Sponsor”).

PROMOTION PERIOD/HOW TO ENTER: The Promotion begins at 10:00 PM (ET) on March 4, 2009 and ends at 4:00 PM (ET) on the Wednesday after the exhibition of the last first-run episode (i.e., the finale episode) of the second cycle of the series Make Me A Supermodel (the “Show”), which is currently anticipated to occur on or before June 24, 2009 (collectively, the “Promotion Period”). All times in this Promotion refer to Eastern Time (“ET’). This Promotion consists of individual weekly voting and entry promotions (“Weekly Voting”) and one (1) Grand Prize Promotion (“Grand Prize Drawing”). Each Weekly Voting will begin once a Weekly Question (defined below) has been posed in a Promotional Spot Invitation (defined below) made during each first-run episode of the Show exhibited during each week of the Promotion Period (check local listings for dates and times when first run episodes of the Show, if any, will be aired) or the point in time when the same Weekly Question appears on the Website, whichever is earlier, and end at 4:00 PM (ET) the following week on Wednesday (the “Weekly Voting Period”). At a predetermined time during the exhibition of the Show (approximately in the first thirty (30) minutes of the Show) viewers will be invited to respond to an invitation (a “Promotional Spot Invitation”) to answer a weekly question (“Weekly Question”). All viewers who respond to such Promotional Spot Invitation by answering a Weekly Question during the corresponding Weekly Voting Period (i.e. by 4:00 PM (ET) the following Wednesday) will be entered into the Grand Prize Drawing. The Weekly Question will also be posted on www.bravotv.com/Make_Me_A_Supermodel (the “Website”) and can be answered during the corresponding Weekly Voting Period for entry into the Grand Prize Drawing on the Website. You can purchase a Bravo Downloadable for $.99 and vote and enter, or vote and enter for free on the Website.

Purchase a Bravo Downloadable and vote and enter with Your Mobile Device: If you have a text messaging capable mobile device from a participating carrier, you can purchase a Bravo Downloadable (see details below) and vote and enter the Grand Prize Drawing during each Weekly Voting Period by answering the Weekly Question, once prompted to do so during a Promotional Spot Invitation, by sending a text message to a short code announced during such Promotional Spot Invitation (which will also be posted on the Website) with your response to the Weekly Question. For example, you will send a text message during the Weekly Voting Period with the letter corresponding to your answer to the Weekly Question that is posed. (Letter choices will be announced in each Promotional Spot Invitation.) A premium text message charge of $.99 will apply to all text messages sent to purchase a Bravo Downloadable and vote and enter the Grand Prize Drawing by answering the Weekly Question. In addition, standard text messaging rates apply to the purchase/vote/entry and all other text messages sent and received in connection with the Promotion. You will receive a text message that includes either a confirmation that the message has been received and a numeric code (“Premium Code”) that may be redeemed for a Bravo Downloadable on bravotv.com/download, or an error message noting delivery failure. For more information on how and when to redeem your Premium Code, please see the section “Redeeming your Premium Code” below. For every response to a Weekly Question submitted via text messaging during the corresponding Weekly Voting Period, you will receive one (1) Bravo Downloadable and one (1) vote for the Weekly Question and one (1) entry into the Grand Prize Drawing to select one (1) Grand Prize Winner (as defined below). Text message votes/entries received after the applicable Weekly Voting Period will not be considered in the Grand Prize Drawing. Text message votes/entries received during the Weekly Voting Period will be considered in the Grand Prize Drawing up to the ten (10) entry limit described below. Sponsor may extend the Weekly Voting Period in its sole discretion, including during weeks in which the Weekly Question is designated by Sponsor as the Ultimate Fan Favorite Question (explained below). If the Weekly Voting Period is extended by Sponsor, including when the Weekly Question designated by Sponsor is the Ultimate Fan Favorite Question, the date and time on which such extended Weekly Voting Period will end will be announced on-air during the Show and/or will be posted on the Website. Please use caution and do not drive while entering the Promotion. Your answer to the Weekly Question will not affect your chances of winning this Promotion.

To vote and enter online for Free without a Purchase OR if you are a resident of Georgia or a Sprint Customer and wish to VOTE/ENTER. To vote and enter the Grand Prize Drawing for free without making a purchase using a text messaging capable mobile device, visit the Website and complete the online entry form, including the letter for the answer to the Weekly Question you wish to submit. Once a Weekly Question has been posed during the first run of an episode of the Show during the Promotion Period, or at the point in time when the same Weekly Question appears on www.bravotv.com/Make-me-a-supermodel Website, whichever occurs first, entrants may answer the Weekly Question up until the end of the corresponding Weekly Voting Period which may be extended by Sponsor, in its sole discretion, including during weeks in which the Weekly Question is designated by Sponsor as the Ultimate Fan Favorite Question. Online voting/entering will be closed Wednesdays during the Promotion Period from 4:00 PM (ET) to 9:59 PM (ET) for testing purposes. Online votes/entries received after the applicable Weekly Voting Period will not be considered in the Grand Prize Drawing. Online votes/entries received during the Weekly Voting Period will be considered in the Grand Prize Drawing up to the thirty (30) entry limit described below. Sponsor may extend the Weekly Voting Period in its sole discretion, including during weeks in which the Weekly Question is designated by Sponsor as the Ultimate Fan Favorite Question. If the Weekly Voting Period is extended by Sponsor, including when the Weekly Question designated by Sponsor is the Ultimate Fan Favorite Question, the date and time on which such extended Weekly Voting Period will end will be announced on-air during the Show and/or will be posted on the Website. Your answer to the Weekly Question will not affect your chances of winning this Promotion.

Entry Limits: Subject only to the exception described below for the Ultimate Fan Favorite Question, for each Weekly Question announced during the Promotion Period, there is a LIMIT OF FORTY (40) VOTES/ENTRIES total per mobile device/email address during each Weekly Voting Period consisting of no more than ten (10) votes/entries by text and thirty (30) votes/entries via online. In instances in which Sponsor designates the Ultimate Fan Favorite Question as the Weekly Question and also extends the Weekly Voting Period, in its sole discretion, the same voting/entry limitations apply per week. The extended Weekly Voting Period for the Ultimate Fan Favorite Question will last for two (2) weeks. By way of example, then, if the Weekly Voting Period is extended by Sponsor in its sole discretion from one (1) week to two (2) weeks, there is a limit of eighty (80) votes/entries total per mobile device/email address during such extended Weekly Voting Period, consisting of no more than twenty (20) votes/entries by text and sixty (60) votes/entries via online. Entries/votes from the same person in excess of forty (40) per week (as described above) for any Weekly Question or the Ultimate Fan Favorite Question will be disqualified.

REDEEMING YOUR PREMIUM CODE: If you purchased a Bravo Downloadable, you will receive a text message that includes a confirmation that the message has been received and one (1) Premium Code that may be redeemed for a Bravo Downloadable at bravotv.com/download (“Premium Store Website”). To redeem the Premium Code, log on to the Premium Store Website and enter your mobile device number, carrier and Premium Code. For each Premium Code entered, you will receive a $.99 credit that may be used to download the Bravo Downloadable of your choice. The $.99 credit can only be used towards a Bravo Downloadable on the Premium Store Website and may not be redeemed for cash. Premium Codes are valid for approximately one (1) year (“Downloadable Expiration Date”) from the date of issuance. Premium Codes are no longer valid after the Downloadable Expiration Date. Standard text messaging rates will apply to all text messages sent and received.

MAKE ME A SUPERMODEL SEASON 2 ULTIMATE FAN FAVORITE COMPETITION: During the Promotion Period, one (1) Weekly Question may be designated by Sponsor in its sole discretion as the Ultimate Fan Favorite Question: “Who is the ultimate fan favorite Make Me A Supermodel Season 2 contestant?” Each viewer’s response to the Ultimate Fan Favorite Question will be collected as a vote for the respective Make Me A Supermodel Season 2 contestant. The Make Me A Supermodel Season 2 contestant who receives the most overall votes during the extended Weekly Voting Period in connection with the Ultimate Fan Favorite Question (and who meets all eligibility requirements) will be declared the “Make Me A Supermodel Season 2 Ultimate Fan Favorite Winner” of the Make Me A Supermodel Season 2 Ultimate Fan Favorite Competition. The Make Me A Supermodel Season 2 Ultimate Fan Favorite Winner will be eligible to win ten thousand dollars $10,000 (the “Ultimate Fan Favorite Prize”). (Note: The Make Me A Supermodel Season 2 Ultimate Fan Favorite Competition will only be conducted and the Make Me A Supermodel Season 2 Fan Favorite Prize will only be awarded IF Sponsor, in its sole discretion, designates one (1) Weekly Question as an Ultimate Fan Favorite Question.) In the event of a tie between contestants for the Make Me A Supermodel Season 2 Ultimate Fan Favorite Competition, Sponsor will decide which of such tied contestants will be deemed the winner of the Ultimate Fan Favorite based upon the following criteria with each factor receiving equal weight: (i) creativity of photo shoots; and (ii) originality of catwalks. Sponsor reserves the right in its sole discretion to substitute a prize of comparable or greater value for the Ultimate Fan Favorite Prize. All federal, state and local taxes are the sole responsibility of the Make Me A Supermodel Season 2 Ultimate Fan Favorite Winner. Sponsor retains the option to terminate the Make Me A Supermodel Season 2 Ultimate Fan Favorite Competition for any reason, in its sole discretion. If Bravo cancels the Make Me A Supermodel Season 2 Ultimate Fan Favorite Competition, the Ultimate Fan Favorite Prize, if not already awarded, will not be awarded. Your answer to the Ultimate Fan Favorite Question will not affect your chances of winning this Promotion. Only the contestants appearing on the show who are designated by Sponsor are eligible to receive the Ultimate Fan Favorite Prize.

CONDITIONS FOR PARTICIPATION AND VALIDATION OF ENTRIES: Text Message and/or online entries generated by a script, macro, robotic or other automated means will be disqualified. USE OF COMPUTER PROGRAMS TO ENTER AND/OR OTHER AUTOMATIC ENTRY METHODS (SUCH AS HACKS OR BOTS), REGARDLESS OF METHOD OF ENTRY IS STRICTLY PROHIBITED. Sponsor reserves the right to disqualify, and block or discard any text message or online entries from any individual who enters by any kind of electronic, mechanical or other automated means or otherwise tampers with or hacks the entry process as determined by the Sponsor in its sole discretion. Sponsor also reserves the right, in its sole discretion, to cancel, modify or suspend the Internet, electronic and/or text-messaging portions of the Promotion in the event of a computer virus, bugs, tampering, unauthorized intervention, fraud, technical or system failure or disruption, force majeure or any other causes which, in its sole opinion, corrupt the administration, security, fairness, integrity, or proper operation of the Promotion. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Please note, by entering, you agree that if selected as the Grand Prize Winner of the Grand Prize Drawing, Sponsor has the right to announce your name, home city, and state, and to air your voice live on-air during the Show without any additional compensation, permission or approval. Sponsor is not responsible for late, lost and/or incomplete text message or online entries, which will be disqualified.

GRAND PRIZE DRAWING: The Grand Prize Drawing will be conducted promptly following the end of the Promotion Period (currently anticipated to be on or about June 24, 2009) by employees or representatives of Sponsor who will randomly pick one (1) Grand Prize Winner from all eligible entries received during the Promotion Period. Odds of winning depend on the total number of eligible entries received.

PRIZE AND APPROXIMATE RETAIL VALUE: Sponsor will award to the winner of the Grand Prize Drawing (“Grand Prize Winner”) one (1) Grand Prize consisting of a trip for Grand Prize Winner and a guest (“Guest”) to Los Angeles, California. Trip includes round-trip, coach-class airfare for Grand Prize Winner and Guest from a major commercial airport near Grand Prize Winner’s residence (as determined by Sponsor in its sole discretion) to a major commercial airport near Los Angeles (as determined by Sponsor in its sole discretion); roundtrip ground transportation for Grand Prize Winner and Guest from airport to hotel; hotel accommodations (single room/double occupancy) for two (2) nights at a Los Angeles-area hotel (as determined by Sponsor in its sole discretion); two (2) dinners for Grand Prize Winner and Guest at a Los Angeles restaurant as determined by Sponsor in its sole discretion (cost of dinners not to exceed three hundred dollars ($300) total); and professional photo shoot for Grand Prize Winner. The total approximate retail value (“ARV”) of the Grand Prize is four thousand three hundred dollars ($4,300). Actual value may vary depending on city of departure, dates of travel, and airfare fluctuations. Any difference between actual retail value and stated ARV will not be awarded. The ARV of Grand Prize represents Sponsor’s good faith determination of the maximum retail value thereof. For Form 1099 reporting purposes, Grand Prize Winner shall be bound by such good faith determination. Sponsor will furnish an Internal Revenue Service Form 1099 to Grand Prize Winner for the ARV of Grand Prize for the tax year in which Grand Prize was won. All details of Grand Prize will be determined by Sponsor in its sole discretion. If Grand Prize is not utilized by December 1, 2009, it will be forfeited. Sponsor reserves the right to substitute a similar prize (or prize element) of equal or greater value in its sole discretion. All taxes and other expenses, costs, or fees associated with the acceptance and/or use of Grand Prize, including all taxes and fees assessed at the time of ticketing and applicable departure takes or fees, are the sole responsibility of Grand Prize Winner. Grand Prize cannot be transferred by Grand Prize Winner or redeemed for cash and is valid only for the items detailed above, with no substitution of Grand Prize by Grand Prize Winner. If a Grand Prize element is not available for any reason, the remaining elements of Grand Prize shall be awarded and shall constitute full satisfaction of Sponsor’s Grand Prize obligation to Grand Prize Winner, and no additional compensation will be awarded. Certain blackout periods and travel restrictions may apply. Travel and hotel arrangements will be determined by Sponsor (and/or Sponsor’s representatives) in its sole discretion. Sponsor reserves the right to provide ground transportation in lieu of air transportation in its sole discretion. Travel must occur on dates and times designated by Sponsor (and before December 1, 2009) or Prize will be forfeited. Once determined, no change, extension, or substitution of travel dates and/or times is permitted, except by Sponsor in its sole discretion. Grand Prize Winner and Guest must travel together on the same itinerary. Grand Prize consists only of the elements set forth above. No other travel elements (including, without limitation, additional ground transportation, insurance, gasoline, meals, gratuities, and souvenirs) are included in Grand Prize. Reservations are subject to availability. Tickets are non-refundable and are not valid for business-related or group travel. Tickets are valid only for travel on airline chosen by Sponsor in its sole discretion. Tickets will be issued only to Grand Prize Winner and Guest. Tickets are void if sold for cash or other consideration. Grand Prize Winner is responsible for any inspection charges and security charges. Once issued, tickets are non-transferable and may not be reissued once travel has commenced. Open tickets may not be issued and stopovers are not permitted. Travel arrangements must be made through Sponsor. Grand Prize Winner and Guest must have valid travel documents (e.g., valid, government-issued photo identification and/or passport) prior to departure, and failure to do so will result in forfeiture of Grand Prize. Sponsor shall have no responsibility or liability for cancellations, delays, or any other change by any company or person providing any element of Grand Prize due to reasons beyond Sponsor’s control, and is not responsible or liable for any expenses incurred as a consequence thereof. Travel may not be combined with any other offer and may not qualify for frequent flyer miles or hotel points. All travel will be at the risk of Grand Prize Winner and Guest. Sponsor will not replace any lost or stolen tickets, vouchers, or certificates. All elements of Grand Prize must be redeemed at the same time. In the event of an act of God or an unforeseen, uncontrollable event, Sponsor reserves the right to reschedule all travel for a later date. If Grand Prize Winner chooses to take the Trip with no Guest, the remaining elements of Prize shall be awarded and shall constitute full satisfaction of Sponsor’s Grand Prize obligation to Grand Prize Winner and no additional compensation will be awarded. Guest, if any, may be required to execute and return a release of liability and, except where prohibited, publicity release (collectively, “Guest Documents”), which must be returned with the Sweepstakes Documents (defined below), or Guest Portion of Grand Prize will be forfeited. If Guest is a minor, Grand Prize Winner must be such minor’s parent or legal guardian and must execute and return the Guest Documents on such minor’s behalf. Entrants selected must comply with all terms and conditions of these Official Rules and winning the Grand Prize is contingent upon fulfilling all requirements. Sponsor shall have the right, but not the obligation, to make any deductions and withholdings that Sponsor deems necessary or desirable under applicable federal, state and local tax laws, rules, regulations, codes or ordinances.

Due to the nature of television, the exhibition dates and times of each first run episode of the Show (and, therefore, the entry/voting dates and times and random drawing date and time) are subject to change. In the event the Show is canceled prior to exhibition, the Promotion will terminate as of the date of cancellation and the Grand Prize will not be awarded. In the event the Show is cancelled or preempted after an episode(s) of the Show is already airing, and in the event any portions of the Promotion are canceled, modified or suspended, the Grand Prize will not be awarded. Additionally (and without limiting the foregoing), if for any reason this Promotion is not capable of being run or implemented as planned, including, but not limited to, as the result of infection by computer viruses or bugs, tampering, unauthorized intervention, fraud, or any other cause of any kind, which, in Sponsor’s sole judgment, is likely to or actually corrupts or affects the administration, security, fairness, integrity or proper conduct of the Promotion, then Sponsor reserves the right to cancel, terminate, modify or suspend all or any part of the Promotion and any prize may not be awarded; except that Sponsor, in its sole discretion, reserves the right to select a Grand Prize Winner in a random drawing from among all eligible entries received by Sponsor up until the time of such cancellation, termination, modification or suspension, as applicable. Any changes to the Promotion will be posted on the Website.

WINNER NOTIFICATION: The potential Grand Prize Winner will be notified by phone and/or email. Sponsor/Sponsor’s representatives will make ONLY two (2) attempts to contact the potential Grand Prize Winner at the phone number or email address provided online or at the mobile device number used to enter within forty-eight (48) hours from the time of the winner selection. If Sponsor/Sponsor’s representatives are unable to reach a potential Grand Prize Winner via phone or email within this time frame, he/she will be disqualified and an alternate winner will be selected. The potential Grand Prize Winner will be required to execute and return a notarized affidavit of eligibility/release of liability and/or publicity release (where legal) within five (5) days of attempted notification (collectively “Sweepstakes Documents”). If any potential Grand Prize Winner cannot be contacted or any prize/prize notification/prize correspondence is returned as undeliverable or if potential Grand Prize Winner fails to sign and return the Sweepstakes Documents within the required time period designated by Sponsor, potential Grand Prize Winner will forfeit the Grand Prize even though his/her name may have been shown/announced publicly. In the event that a potential Grand Prize Winner is disqualified for any reason, Sponsor may award the applicable prize to an alternate winner in a random drawing from among all eligible entries received during the Promotion Period. Odds of winning a prize depend on number of eligible entries received.

GENERAL CONDITIONS:

a. By entering, entrants fully and unconditionally accept and agree to be bound by these complete Official Rules and the decisions of Sponsor, which shall be final. Sponsor has the right to modify these Official Rules in its sole discretion for clarification purposes without materially affecting the terms and conditions of the Promotion, as determined by Sponsor.

b. Except where prohibited, the Grand Prize Winner grants to Sponsor and its advertising agencies the right to use, and publish his or her proper name, likeness, voice, opinions, biographical information and state and announce publicly Grand Prize Winner’s name, home city and state to promote Sponsor and the Promotion in any and all media now or hereafter known, throughout the world in perpetuity, without additional compensation, permission, notification or approval.

c. Entrants enter at their own risk. Sponsor is not responsible for and shall not be liable for (i) late, lost, delayed, damaged, misdirected, incorrect, stolen, incomplete, ineligible or unintelligible entries; (ii) telephone, electronic, hardware, software program, network, Internet or computer failures or difficulties; (iii) errors in transmission; (iv) any condition caused by events beyond the control of Sponsor that may cause the Promotion to be disrupted or corrupted; (v) any injuries, losses, or damages of any kind caused by or resulting from acceptance, possession, use or misuse of the Prize (including any travel related thereto), or from participation in the Promotion including, but not limited to, any and all activities of any kind related to the receipt of the Grand Prize; or (vi) any printing or typographical error in any materials associated with these Official Rules or the Promotion generally. Entrants assume all liability for any injury or damages of any kind caused or claimed to be caused by his or her participation in the Promotion and/or the acceptance and/or use of the Prize (including any travel related thereto), and release Sponsor and/or any representatives of Sponsor and their respective officers, directors, employees, parents, subsidiaries and affiliates from any such liability. Sponsor, Tiger Aspects, Single Point, Verizon Wireless and each of their respective officers, directors, employees, parents, subsidiaries and affiliates (“Released Parties”) assume no responsibility for any injury or damage to entrants’ or to any other person’s computer relating to or resulting from entering or downloading materials or software in connection with this Promotion.
PLEASE NOTE THAT A HIGH VOLUME OF ENTRIES OR TECHNICAL DIFFICULTIES WITH THE SYSTEM, MAY RESULT IN TEMPORARY INABILITY TO ENTER THE PROMOTION OR A DELAY IN THE PROCESSING OF ENTRIES SUCH THAT YOUR ENTRY IS NOT RECEIVED IN TIME TO PARTICIPATE. SPONSOR/SPONSOR’S REPRESENTATIVES ARE NOT RESPONSIBLE OR LIABLE SHOULD ANY ENTRY NOT BE RECEIVED DUE TO SUCH DELAYS.

d. Sponsor may prohibit any entrant or potential entrant from participating in the Promotion, if at the sole discretion of Sponsor, such person (i) shows a disregard for these Official Rules, or (ii) acts with an intent to annoy, abuse, threaten, or harass any other entrant, Sponsor, Released Parties, or its agents or representatives or in any other disruptive manner.

e. In the event of a dispute as to the identity of an entrant, the authorized account holder of the mobile device or email address used to enter, if applicable, will be deemed to be the entrant. “Authorized account holder” of a mobile device is the natural person in whose name the mobile device has been issued and to whom services are billed. “Authorized account holder” of an email address is defined as the natural person who is assigned to an email address by an Internet Access provider, on-line service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

f. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any entrant, Sponsor or the Released Parties in connection with the Promotion, shall be governed by and construed in accordance with the laws of the State of New York without giving effect to any choice of law or conflict of law rules or provisions which would cause the application of the laws of any jurisdiction other than the State of New York. If any controversy or claim arising out of or relating to the Promotion, the Official Rules, or the breach of any term hereof, cannot be otherwise resolved, it shall be resolved by binding arbitration conducted in the County of New York, and administered by Judicial Arbitration and Mediation Services, Inc. in accordance with its Streamlined Arbitration Rules and Procedures or subsequent versions thereof (“the JAMS Rules”). The JAMS Rules for selection of an arbitrator shall be followed, except that the arbitrator shall be an arbitrator licensed to practice law in New York. The decision of the arbitrator shall be binding, final and conclusive and shall not be appealable to any court. The remedy for any claim shall be limited to actual damages, and in no event shall any party be entitled to recover punitive, exemplary, consequential, or incidental damages, including attorney’s fees or such related costs of bringing a claim, or to rescind these Official Rules or seek injunctive or any other equitable relief.
